Terms and Conditions

1. Definitions

"Buyer" means any individual or entity that uses the Platform to search for pricing, request quotes, or purchase products or services.

"Seller" means any individual or entity that uses the Platform to respond to RFQs, list products or services, or offer pricing.

"User" means any Buyer, Seller, or other person or entity that accesses or uses the Platform.

"AIBA" means PriceQ's AI Buying Agent search engine and related pricing-intelligence tools.

"RFQ" means a Request for Quotation submitted through the Platform, including a Private RFQ ("PRFQ") or a Marketplace RFQ ("MRFQ").

"Quote" means a price response submitted by a Seller in response to an RFQ, including a Private Quote ("PQTE") or a Marketplace Quote ("MQTE").

"Transaction" means any purchase, sale, or other commercial arrangement that a Buyer and Seller negotiate or complete in connection with an RFQ or Quote.

"User Content" means all information, data, documents, specifications, listings, images, Quotes, RFQs, messages, and other materials that a User submits, uploads, or otherwise makes available on or through the Platform.

"Fee Schedule" means PriceQ's then-current schedule of platform, subscription, per-bid/per-Quote, or other fees, as posted on the Platform or otherwise provided to you.

"Credits" means prepaid, closed-loop platform credits that Users may purchase and redeem for eligible fees and services on the Platform, as described in Section 4.6.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age and have the legal capacity and authority to enter into binding contracts on behalf of yourself or your organization. The Platform is intended primarily for commercial and professional use. You may not use the Platform if you are barred from doing so under applicable law or if PriceQ has previously suspended or terminated your account.

2.2 Account Information

By registering, you represent and warrant that all information you provide is accurate, complete, and current, and that you will keep it updated. You may not impersonate another person or entity, create an account for anyone other than yourself or your organization without authorization, or maintain more than one account without our prior written consent.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at legal@priceq.ai if you become aware of any unauthorized access or use. PriceQ is not liable for losses arising from unauthorized use of your account except to the extent caused by our willful misconduct.

2.4 Suspension and Termination of Accounts

PriceQ reserves the right to refuse registration, and to suspend or terminate accounts that provide false information, violate these Terms, create risk for other Users or PriceQ, or are otherwise used in a manner we reasonably determine to be abusive, fraudulent, or unlawful.

3. Buyer Terms

3.1 Use of AIBA Search

Buyers may use AIBA to obtain market pricing and product information. AIBA is an automated, artificial-intelligence tool, and its results are generated by algorithms that may be incomplete, outdated, or inaccurate. Results are provided for informational and comparison purposes only. PriceQ does not guarantee the accuracy, completeness, timeliness, or availability of any pricing or product data returned by AIBA. AIBA results do not constitute an offer, a Quote, investment, financial, legal, tax, or procurement advice, or a recommendation to buy or sell, and you should independently verify any AIBA output before relying on it.

3.2 RFQ Submissions

Buyers may submit Private RFQs and Marketplace RFQs through the Platform. By submitting an RFQ, the Buyer represents that: (a) the Buyer has a genuine, good-faith intent to evaluate suppliers and, if terms are acceptable, to purchase; (b) all submitted specifications, quantities, timelines, and other information are accurate to the best of the Buyer's knowledge; and (c) the Buyer is authorized to submit the RFQ on behalf of the identified organization.

3.3 No Purchase Obligation

Submission of an RFQ does not obligate a Buyer to accept any Quote or to complete a Transaction. However, repeated bad-faith RFQ submissions, including RFQs submitted solely to extract pricing without genuine purchasing intent, may result in warnings, limits on use, suspension, or termination.

3.4 Contact Information and Permitted Use

Buyers agree not to use Seller contact information obtained through the Platform for any purpose other than evaluating Quotes and completing a Transaction initiated on the Platform. Buyers may not harvest, scrape, sell, or share Seller contact information for marketing lists, competing platforms, or unrelated solicitation.

3.5 Evaluation of Quotes

Buyers are solely responsible for evaluating Quotes, including price, specifications, delivery, warranties, regulatory compliance, and Seller reliability. PriceQ does not endorse any Seller or warrant that any Quote is the lowest available price or the best value.

4. Seller Terms

4.1 Seller Verification

Sellers must complete PriceQ's verification process before responding to RFQs or listing products or services. Verification may include identity, business registration, tax, insurance, or other checks. PriceQ may approve, reject, condition, or later revoke Seller status at its sole discretion. Verification is not a warranty of a Seller's quality, solvency, or legal compliance.

4.2 Quote Accuracy and Validity

Sellers represent that each Quote is accurate, legally compliant, and a genuine offer to sell at the stated price and conditions, subject to any stated limitations (such as quantity, lead time, or expiration). Unless a Quote states a shorter period, Quotes remain open for the validity period displayed on the Platform or, if none is displayed, for fourteen (14) days from submission. A Quote does not become a binding contract with PriceQ. Any binding sale is solely between Buyer and Seller under a separate purchase agreement or accepted order.

4.3 Fees and Bid/Quote Fees

Sellers agree to pay applicable platform fees as set forth in the Fee Schedule, which PriceQ may update from time to time with notice as described in Section 16. Fees may include subscription fees and per-bid or per-Quote fees ("Bid/Quote Fees"), and may in the future include other amounts described in the Fee Schedule.

Bid/Quote Fees are charged for each Quote you submit and are earned by PriceQ when the Quote is submitted. Bid/Quote Fees are not contingent on, and do not guarantee, being ranked, being selected, winning an RFQ, or completing any Transaction. A subscription may reduce the per-bid amount of Bid/Quote Fees but does not eliminate them; per-bid Bid/Quote Fees continue to apply to each Quote. The applicable Bid/Quote Fee, and the fact that it applies whether or not you win, are disclosed at the point the Quote is submitted.

Except as required by applicable law, Bid/Quote Fees and other fees are non-refundable once earned; a "non-refundable" designation does not limit any non-waivable rights you may have under applicable law. Unpaid amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and PriceQ may suspend access until amounts are paid.

4.4 Automatic Renewal of Subscriptions

Seller subscriptions renew automatically for successive periods equal to the initial subscription term, at the then-current rate, unless you cancel before the renewal date. The automatic-renewal terms, the renewal price, and the renewal frequency are disclosed clearly and conspicuously at the time of purchase, and your consent to those terms is obtained before you are charged.

For any subscription with a term of twelve (12) months or more that automatically renews, PriceQ will send you a reminder notice no less than thirty (30) and no more than sixty (60) days before the cancellation deadline, stating that the subscription will automatically renew and how you may cancel.

You may cancel at any time, by the same means you used to subscribe, through self-service controls in your account settings, or by emailing legal@priceq.ai. Cancellation stops future renewals; fees already incurred, and per-bid Bid/Quote Fees, remain payable and are not refunded except as required by law.

4.5 No Circumvention

Sellers agree not to circumvent the Platform by using Buyer information obtained through the Platform to complete, or to solicit the completion of, Transactions outside PriceQ for the purpose of avoiding fees. This restriction applies for twelve (12) months after the Buyer is first identified to the Seller through the Platform, except where the Seller independently already had a documented pre-existing business relationship with that Buyer. Circumvention is a material breach and may result in immediate termination, fee recovery, and other remedies.

4.6 Platform Credits

PriceQ may sell prepaid credits ("Credits") that Users (both Buyers and Sellers) may purchase and redeem for eligible fees and services on the Platform. Credits: (a) are redeemable only for PriceQ products and services and have no cash value; (b) are not transferable, assignable, or redeemable for cash, and may not be used to pay or transfer value to any other User or third party, except where required by law; (c) are not a deposit, bank account, credit card, or stored-value instrument redeemable with any third party, and PriceQ is not a bank, money transmitter, or money services business; and (d) are not a security or investment.

Credits that you purchase for a separate, identifiable price do not expire and are not subject to any expiration date, dormancy fee, account-maintenance fee, service charge, or similar post-sale fee, except as permitted by applicable law. Promotional or bonus Credits provided at no separate identifiable charge (including Credits bundled with a subscription) may have an expiration date and may be subject to additional terms disclosed when they are granted. Refunds of purchased Credits, if any, are governed by the Fee Schedule and applicable law.

4.7 Product and Legal Compliance

Sellers are solely responsible for ensuring that their products, services, representations, labeling, safety, import/export, and sales practices comply with all applicable laws. Sellers must not offer illegal goods or services, counterfeit items, or items that infringe third-party rights.

5. Marketplace Terms

5.1 Platform Role

PriceQ operates as a marketplace intermediary and technology provider only. PriceQ is not a Buyer, Seller, broker, agent, insurer, or party to any Transaction unless a separate written agreement expressly says otherwise. PriceQ does not take title to goods or services, does not hold customer funds unless separately agreed, and does not guarantee that any Buyer or Seller will complete a Transaction. As a provider of an interactive computer service, PriceQ is not the publisher or speaker of User Content provided by others and, to the fullest extent permitted by 47 U.S.C. § 230 and other applicable law, is not responsible or liable for User Content or for the acts or omissions of Users.

5.2 Automated Reverse Bidding and Ranking

The Platform's automated reverse-bidding, ranking, and comparison tools are provided to facilitate competitive pricing. Each Seller independently determines its own Quotes and pricing, and Sellers do not coordinate pricing with one another through the Platform. PriceQ makes no representation that the lowest Quote represents the best value, that ranking is complete or unbiased in every case, or that any Quote is legally binding until Buyer and Seller execute a separate purchase agreement or the Buyer issues an accepted purchase order. Ranking and display may take into account factors other than price, including completeness, verification status, historical performance, and Platform rules.

5.3 Payments Between Users

Unless PriceQ expressly offers a payment, escrow, or checkout feature and you elect to use it, Buyers and Sellers are solely responsible for invoicing, payment method, tax collection, shipping, delivery, inspection, returns, and refunds under their own commercial terms. If PriceQ later introduces payment processing, additional payment terms will apply and will be presented before you use those features.

5.4 Disputes Between Users

In a dispute between a Buyer and a Seller, PriceQ may, at its sole discretion, assist in facilitating communication or resolution, but is under no obligation to do so and bears no liability for the outcome of any Transaction. Users should attempt to resolve commercial disputes directly. PriceQ may request information and may take account-level action if a User appears to have violated these Terms.

5.5 Taxes

Each User is responsible for determining, collecting, reporting, and remitting any taxes associated with its Transactions. PriceQ is not the merchant of record for User-to-User sales unless a separate written agreement states otherwise.

6. Acceptable Use

You agree not to, and not to permit others to:

(a) use the Platform for any unlawful purpose, or to offer or solicit illegal goods or services;

(b) engage in price-fixing, bid-rigging, market allocation, or any other conduct that violates U.S. federal or state antitrust laws, including the Sherman Act, Clayton Act, or Federal Trade Commission Act;

(c) scrape, crawl, harvest, or use automated means to extract data from the Platform except through documented public APIs or with our prior written consent;

(d) interfere with or disrupt the Platform, attempt to gain unauthorized access, introduce malware, or probe our systems;

(e) reverse engineer, copy, or create derivative works from the Platform except as permitted by law;

(f) post false, misleading, defamatory, or infringing User Content;

(g) circumvent fees, access controls, or usage limits;

(h) use contact information obtained through the Platform for spam or unrelated solicitation; or

(i) use the Platform to compete with PriceQ in a way that misappropriates our confidential information or User relationships in violation of these Terms.

PriceQ may report suspected anticompetitive, fraudulent, or illegal conduct to relevant authorities and may immediately suspend or terminate accounts engaged in such conduct.

7. Privacy and Data

7.1 Privacy Policy

Your use of the Platform is also governed by PriceQ's Privacy Policy, available on the Platform and incorporated into these Terms. If there is a conflict between these Terms and the Privacy Policy on a privacy-specific topic, the Privacy Policy controls for that topic.

7.2 Contact Information

PriceQ does not sell, rent, or share personal contact information of Buyers or Sellers with third parties for those third parties' independent marketing purposes without explicit consent, except as described in the Privacy Policy (including service providers, legal process, and business transfers).

7.3 State Privacy Laws

PriceQ maintains a privacy program intended to comply with applicable U.S. state privacy laws that apply to it, which may include the California Consumer Privacy Act as amended by the CPRA ("CCPA"), the Virginia Consumer Data Protection Act ("VCDPA"), and other applicable state privacy laws. Users in those states may have specific rights regarding their personal data, as described in the Privacy Policy. Applicability of any particular law depends on the facts and applicable thresholds.

7.4 Web Data Collection for AIBA

PriceQ uses automated tools to collect certain publicly available pricing and product data from third-party websites to help power AIBA. PriceQ seeks to limit this collection to publicly accessible information and to conduct it in a manner consistent with applicable law. PriceQ does not claim that third-party site data is complete or current. If you operate a website and believe our collection is improper, contact legal@priceq.ai.

7.5 Analytics and Improvement

PriceQ may use aggregated, de-identified, or anonymized data derived from Platform use, RFQs, Quotes, and public market data to operate, secure, and improve the Platform, including AIBA models and pricing intelligence, provided we do so in accordance with the Privacy Policy and do not publicly disclose a User's confidential pricing as that User's identifiable confidential information.

8. User Content and Intellectual Property

8.1 PriceQ Intellectual Property

The Platform, including its software, models, interfaces, trademarks, logos, documentation, compilations of public market data, and all content created by PriceQ, is owned by or licensed to PriceQ and is protected by intellectual property laws. Users may not copy, reproduce, distribute, scrape, or create derivative works from Platform content except as reasonably necessary to use the Platform as intended, or with our prior written consent.

8.2 License You Grant to PriceQ

You retain ownership of your User Content. You grant PriceQ a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, and otherwise use your User Content solely to operate, provide, secure, and improve the Platform and to fulfill our obligations under these Terms. This license includes the right to display relevant User Content to other Users as needed to process RFQs and Quotes. This license ends when you delete the applicable User Content or close your account, except that PriceQ may retain copies as required by law, for legitimate business records, dispute resolution, or backup systems.

8.3 Your Representations

You represent that you have all rights necessary to submit User Content and to grant the license above, and that your User Content does not infringe any third-party right or violate any law.

8.4 Feedback

If you provide suggestions or feedback about the Platform, PriceQ may use that feedback without restriction or compensation to you.

8.5 Copyright Complaints (DMCA)

PriceQ respects the intellectual property rights of others and responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe User Content on the Platform infringes your copyright, send a written notice containing the elements required by 17 U.S.C. § 512(c)(3) to PriceQ's designated agent at legal@priceq.ai (Attn: DMCA Agent, Solid Unicorn Corp., 3910 Pembroke Rd, Pembroke Park, FL 33021). PriceQ will remove or disable access to material as required by law, will process counter-notifications, and will terminate, in appropriate circumstances, the accounts of repeat infringers.

9. Confidentiality

Users shall not disclose non-public information received through the Platform about another User's pricing, specifications, or business terms except as needed to evaluate or complete the relevant Transaction, as required by law, or with the disclosing party's consent. PriceQ will treat non-public User Content as confidential except as needed to operate the Platform, as described in these Terms and the Privacy Policy, or as required by law. This section does not limit PriceQ's use of aggregated or de-identified data under Section 7.5.

10. Consumer Marketplace Obligations

To the extent PriceQ facilitates Transactions involving consumer goods or services, PriceQ and Sellers using the Platform agree to comply with applicable consumer-protection laws, including FTC regulations, truth-in-advertising standards, and applicable product-safety requirements. Sellers are solely responsible for ensuring their products, warranties, return practices, and representations comply with all applicable laws. Nothing in these Terms limits non-waivable consumer rights, including rights under the Florida Deceptive and Unfair Trade Practices Act, Fla. Stat. §§ 501.201–.213.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRICEQ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AIBA RESULTS, QUOTES, OR THIRD-PARTY DATA WILL BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the maximum extent permitted by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF PRICEQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEQ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PRICEQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

The limitations in this section do not apply to liability that cannot be limited under applicable law, including (where such limitation is prohibited) liability for fraud, willful misconduct, personal injury caused by negligence, or non-waivable rights under the Florida Deceptive and Unfair Trade Practices Act.

13. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless PriceQ and its officers, directors, employees, agents, affiliates, and successors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your use of the Platform; (b) your User Content; (c) your Transactions with other Users; (d) your violation of these Terms; or (e) your violation of any law or any rights of a third party. PriceQ may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate. This indemnification obligation does not apply to the extent a claim arises from PriceQ's own fraud, willful misconduct, or gross negligence.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law rules, and without regard to the United Nations Convention on Contracts for the International Sale of Goods. The Federal Arbitration Act governs the interpretation and enforcement of Section 14.2.

14.2 Binding Arbitration

Except as provided in Section 14.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, or, where a party is a consumer, its Consumer Arbitration Rules. The arbitration shall be conducted in English. The seat of arbitration shall be Broward County, Florida, unless the parties agree otherwise; a consumer may elect to have any in-person hearing held in the county of the consumer's residence or to proceed by telephone or videoconference. Judgment on the award may be entered in any court of competent jurisdiction.

Delegation. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that it is void or voidable, except that a court has authority over the enforceability of the class-action waiver in Section 14.3.

Arbitration Costs. For consumer disputes, PriceQ will pay AAA filing, administration, and arbitrator fees to the extent required by the AAA Consumer Arbitration Rules and applicable law.

Mass Arbitration. If 25 or more similar arbitration demands are submitted by or with the coordination of the same or coordinated counsel, the demands will be administered in staged batches to the extent permitted by the AAA's rules and applicable law, and the parties will cooperate in good faith to achieve efficiency.

Opt-Out. You may opt out of this arbitration provision by sending written notice to legal@priceq.ai within thirty (30) days after you first accept these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other provision of these Terms.

14.3 Class Action Waiver

YOU AND PRICEQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING, EXCEPT AS REQUIRED BY APPLICABLE LAW.

If this class-action waiver is found unenforceable as to a particular claim, that claim shall proceed in court, but the remainder of Section 14 shall continue to apply.

14.4 Injunctive Relief and Small Claims

Either party may seek temporary or injunctive relief in the state or federal courts located in Broward County, Florida to protect intellectual property or confidential information, or to prevent circumvention of the Platform, and you consent to the exclusive jurisdiction and venue of those courts for such purposes and for any claim not subject to arbitration. Either party may also bring an individual action in small-claims court if the claim qualifies.

14.5 Informal Resolution

Before filing a claim, you agree to contact legal@priceq.ai and attempt to resolve the dispute informally for at least thirty (30) days, unless injunctive relief is reasonably necessary.

15. Term and Termination

These Terms remain in effect while you use the Platform. You may stop using the Platform and close your account at any time, subject to any outstanding fee obligations. PriceQ may suspend or terminate your access at any time, with or without cause, with notice where reasonably practicable. Immediate suspension may occur for suspected fraud, legal risk, non-payment, or material breach.

Upon termination, the licenses granted to you end. Sections that by their nature should survive (including fees owed, Platform Credits terms, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

16. Modifications to Terms

PriceQ may modify these Terms from time to time. We will update the "Last Updated" date and post the revised Terms on the Platform. For material changes, we will provide additional notice reasonably calculated to inform you, such as an email to the address associated with your account or an in-product notice, at least fourteen (14) days before the changes take effect, except where a shorter period is required for legal or security reasons. PriceQ may update the designated county for governing venue and arbitration seat in Section 14 upon notice given in accordance with this Section if it relocates its principal place of business.

If you do not agree to the revised Terms, you must stop using the Platform and may close your account before the effective date. Your continued use after the effective date constitutes acceptance of the revised Terms. Material changes to the arbitration provision will apply prospectively only, and you may reject them as described in that provision.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any Fee Schedule or additional terms expressly accepted by you, constitute the entire agreement between you and PriceQ regarding the Platform and supersede prior or contemporaneous agreements on that subject.

17.2 Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions will remain in full force and effect.

17.3 Assignment

You may not assign or transfer these Terms without PriceQ's prior written consent. PriceQ may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate.

17.4 Force Majeure

PriceQ is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of utilities, communications, or hosting providers.

17.5 No Waiver

PriceQ's failure to enforce any provision is not a waiver of that provision or of the right to enforce it later.

17.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except for indemnified PriceQ personnel as described in Section 13.

17.7 Export and Sanctions

Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against the drafter.
